Agency Participation & Subscription Terms

Agreement and who these terms cover
These Agency Participation & Subscription Terms (the “Agency Terms”) govern how insurance agencies and their authorized representatives (“you,” the “Agency”) claim a listing, manage a profile, receive routed quote requests, and purchase subscriptions on Find Independent Insurance (the “Service”), operated by Get Talky Inc. ("Relay"). They supplement our Terms of Use and Privacy Policy; if they conflict, these Agency Terms control for agency accounts, routing, and billing. By claiming a listing, using the agency portal, or subscribing, you accept these Agency Terms on behalf of the Agency and represent that you are authorized to do so.
These Agency Terms are effective July 18, 2026 (version 2026-07-18). Your subscription acceptance is recorded with the version in effect when you subscribe.
Our role — a directory and intake service, not an agency
We are not an insurance agency, broker, or carrier. We do not sell insurance, quote, advise, underwrite, or place coverage, and we are not a party to any dealing between you and a consumer. You are solely responsible for your insurance services, including licensing, appointments, quotes, advice, suitability, disclosures, errors and omissions, and compliance with the insurance laws of every state where you do business.
Eligibility and license verification
Participation requires a valid, active producer or agency license. We verify a license against public state records before an account is created or a listing shows a verified badge, and we may re-verify at any time. You agree to keep your license information current, to tell us if a license lapses, is suspended, or is revoked, and that we may suspend or remove verified status, routing, and portal access if a license is no longer in good standing or if information you provided is inaccurate.
Your account
Portal access uses one-time sign-in links sent to your account email. You are responsible for maintaining control of that email address and for all activity under your account, and you agree to notify us promptly of any unauthorized use. Keep your notification email current — routed quote requests are delivered there.
Your profile content
You grant us a non-exclusive, royalty-free license to host, display, and reproduce the content you add to your profile (descriptions, taglines, service tags, contact details, and other content) on the Service and in communications about the Service, for as long as your profile is claimed. You represent your content is accurate, that you have the rights to it, and that it complies with insurance advertising rules in your states. Do not include premium quotes, guarantees of savings or coverage, carrier logos you are not authorized to use, or claims you cannot substantiate. We may edit, decline, or remove content that is inaccurate, misleading, unlawful, or inconsistent with the Service’s standards. Correcting factual listing information is always free and never requires a subscription.
The verified badge and embed
“Verified” means one thing: your producer license was checked against public state records when your claim was approved. It is earned through verification, is never sold, and is not an endorsement, ranking, or statement about the quality of your services. While your profile is claimed and in good standing, we grant you a limited, revocable, non-transferable license to display the verified badge and link on your own website using the embed we provide. Do not alter the badge, imply endorsement, or use it after your verified status ends. The license ends automatically when your participation ends.
Quote requests routed to you
When a consumer submits a request matching your state, area, and tagged lines, we may route it to you. Routing is non-exclusive: a request may be routed to up to three participating agencies, with Preferred Agency subscribers routed first within a matching tier. We provide each routed request with its consent record (consent version and capture details retained by us).
You agree that you will:
- use a routed request only to respond to that consumer about the insurance they asked about, and not for any other marketing, list building, resale, or transfer to any third party;
- comply with all laws governing your outreach, including the TCPA, state telemarketing and mini-TCPA laws, Do-Not-Call rules where applicable, CAN-SPAM, and state privacy laws — you are solely responsible for the manner, timing, and content of your contact;
- honor a consumer’s opt-out or do-not-contact request immediately;
- protect consumer information with reasonable safeguards, and delete it on the consumer’s valid request or when you no longer need it for the purpose above.
Once routed to you, you handle consumer information as an independent business under your own privacy practices. Requests are provided “as is”: we verify consent capture, not the accuracy of what a consumer entered, and we do not guarantee any volume of requests, that any request will result in contact, a quote, or a sale, or that a consumer is eligible for any product.
Preferred Agency subscription: fees, renewal, cancellation
Preferred Agency is an optional paid subscription: $29 per month or $290 per year, plus applicable taxes (prices shown at checkout control if they differ). Payments are processed by Stripe; we do not store full card numbers. By subscribing, you authorize us and Stripe to charge the payment method you provide for the initial period, each renewal, applicable taxes, and any expressly disclosed price change until you cancel.
- Automatic renewal. Your subscription renews automatically at the end of each billing period (monthly or yearly) and your payment method is charged at the then-current rate until you cancel.
- Cancel anytime.Cancel through “Manage billing” in your portal (or by emailing us). Cancellation takes effect at the end of the current billing period; Preferred Agency features remain active until then.
- Refunds. Fees are non-refundable and non-prorated except where required by law or expressly stated by us in writing.
- Failed payments. If a renewal payment fails we may retry it; if it continues to fail, your plan reverts to the free tier. Your verified status and free listing are unaffected.
- Price changes.We will give at least 30 days’ notice by email before a price change takes effect at your next renewal.
- Taxes. Fees exclude any applicable taxes, which you are responsible for where required and which will be shown at checkout or on your invoice when collected by us.
Fees are flat — never commissions
All fees on the Service are flat subscription or advertising fees for directory presence, profile features, analytics, and routing preference. Fees are set in advance, do not vary with, and are not contingent on or measured by any insurance application, quote, sale, policy, premium, or commission. Nothing in these Agency Terms is a referral fee for a specific transaction, a commission share, or compensation dependent on the placement of insurance, and neither party will treat it as such.
What Preferred Agency is — and is not
Preferred Agency provides routing preference within a matching tier, a clearly labeled Preferred Agency designation and featured placement ahead of alphabetical listings, and priority for attributed local answers on matching market pages. It does notprovide: any minimum or guaranteed number of requests; exclusive requests; a higher or different “verified” status; endorsement by us; or any guarantee of business outcomes. Featured placement attributable to a subscription is labeled so consumers can tell.
Suspension and termination
You may stop participating at any time (cancel your subscription and, if you wish, email us to release your claim). We may suspend or terminate portal access, routing, verified status, or a subscription if a license is not in good standing, these terms are violated, consumer complaints or legal risk warrant it, or the Service changes or is discontinued. On termination: your profile reverts to an unclaimed public-record listing, badge and embed licenses end, routed-request delivery stops, and any prepaid period either runs to its end or is handled per the refunds provision above. Sections that by their nature should survive (content license for past display, lead-handling obligations, disclaimers, liability limits, indemnification) survive.
Disclaimers
The Service, the portal, routed requests, analytics, and the badge are provided “as is” and “as available,” without warranties of any kind, express or implied, to the fullest extent permitted by law, including any warranty of merchantability, fitness for a particular purpose, or non-interruption. Analytics are approximations and may undercount or overcount.
Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenue. Our total liability arising out of or relating to these Agency Terms will not exceed the amounts you paid us in the twelve months before the event giving rise to the claim (or one hundred U.S. dollars if you have paid nothing). Nothing here limits liability that cannot be limited by law.
Indemnification
You will indemnify, defend, and hold harmless Get Talky Inc.and its officers, employees, and agents from claims, damages, penalties, and costs (including reasonable attorneys’ fees) arising out of: (a) your contact with consumers, including alleged TCPA, telemarketing, Do-Not-Call, or state mini-TCPA violations; (b) your insurance services, advice, or transactions; (c) content you provide; (d) your use of routed requests in violation of these terms; or (e) your violation of law or these Agency Terms.
Changes to these terms
We may update these Agency Terms. For material changes we will give at least 30 days’ notice to your account email before the changes take effect; continued participation after the effective date is acceptance. If you do not agree, cancel before the effective date.
Governing law and disputes
These Agency Terms and any dispute arising from them or the Service are governed by Delaware law, without regard to conflict-of-laws principles. Each party consents to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for any such dispute.
General provisions and contact
These Agency Terms, our Terms of Use, Privacy Policy, and the checkout terms are the entire agreement between you and us for agency participation and the subscription. If any provision is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Agency Terms without our written consent; we may assign them in connection with a merger, reorganization, sale of assets, or by operation of law.
